At a Board Meeting of the above-named Company duly convened and held at 1 Gray’s Inn Square, Gray’s Inn, London WC1R 5AA, on 18 December 2009, the following Special Resolutions were resolved to have passed by written resolution:-

“That the Company be wound up voluntarily and that Shirley Jackson, of BN Jackson Norton, 1 Gray’s Inn Square, Gray’s Inn, London WC1R 5AA, be and is hereby appointed Liquidator of the Company for the purposes of such winding-up and is authorised on behalf of the company to enter in to and carry out the provisions of a liquidation agreement a copy of which is attached to the Resolution and that the Liquidator be at liberty to distrbute any of the Company’s assets in specie.”
