By written resolution of a majority of members holding not less than 75% of the total voting rights of eligible members the following resolutions were passed on 22 December 2009 as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily and that M C Healy, of Leonard Curtis, One Great Cumberland Place, Marble Arch, London W1H 7LW, be and is hereby appointed the Liquidator of the Company for the purposes of such winding up.”
