At a General Meeting of the above named company duly convened and held at St Georges Hotel, 14-15 Langham Place, Regent Street, London, W1B 2QS on 18 December 2009 the following resolutions were duly passed as a Special Resolution and Ordinary Resolution, respectively:

“That it has been resolved by Special Resolution that the company be wound up voluntarily and that Peter James Yeldon, of Middleton Partners, 38 Langham Street, London, W1W 7AR, be appointed liquidator of the company for the purposes of the winding-up.”
