At a General Meeting of the above named Company convened and held at 105 St Peter’s Street, St Albans, Hertfordshire AL1 3EJ on 14 December 2009 at 10.30 am, the following special resolution numbered one and ordinary resolution numbered two were passed:

1. That the Company be wound up voluntarily.

2. That Michael S E Solomons of Kingston Smith & Partners LLP, 105 St Peter’s Street, St Albans, Hertfordshire AL1 3EJ be appointed Liquidator of the Company for the purposes of the voluntary winding-up.
