At an Extraordinary General Meeting of the above-named Company, duly convened and held at Forum House, Stirling Road, Chichester, West Sussex PO19 7DN, on 18 December 2009, the following Special Resolution was duly passed:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities continue its business, and that it is desirable that the same should be wound up accordingly and that Susan Joy Casey of J Casey & Co, Forum House, Stirling Road, Chichester, West Sussex PO19 7DN be and is hereby appointed Liquidator of the Company for the purpose of such winding-up.”
