At a General Meeting of the members of the above named company, duly convened and held at the offices of 501 Chester Road, Old Trafford, Manchester, M16 9HU on 15 December 2009 at 10.30am the following resolutions were duly passed as a Special Resolution and as an Ordinary Resolution respectively:-

“That the Company be wound up voluntarily and that Beverley Ellice Budsworth, of West Point, 501 Chester Road, Old Trafford, Manchester, M16 9HU, be and she is hereby appointed Liquidator for the purposes of such winding-up.”
