At a General Meeting of the above-named Company, duly convened and held at Dains LLP, Suite 306, Fort Dunlop, Fort Parkway, Birmingham, B24 9FD, on 12 August 2009 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily, and that MFP Smith, of Dains LLP, Third Floor, Fort Dunlop, Fort Parkway, Birmingham, B24 9FD, be and is hereby appointed Liquidator for the purposes of the voluntary winding-up.”
