At a General Meeting of the above named company, duly convened and held at Swindon Marriott Hotel, Pipers Way, Swindon SN3 1SH on 16 July 2009 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:
“That the Company be wound up voluntarily; and that M F P Smith and N J Hawksley, both of Dains LLP, Third Floor, Fort Dunlop, Fort Parkway, Birmingham B24 9FD, be and are hereby appointed Joint Liquidators for the purposes of the voluntary winding up and that they be authorised to act jointly and severally.”
