We, the undersigned, being the sole Member of the Company, having the right to attend and vote at a General Meeting of the Company, hereby pass, pursuant to section 283 of the Companies Act 2006, the following Resolution as a Special Resolution and agree that the said Resolution shall be for all purposes valid and effective as if the same had been passed at a General Meeting of the Company duly convened and held:
1. Members’ Voluntary Liquidation
Having considered the Declaration of Solvency, the following Resolution is hereby passed as a Special Resolution:
“That the Company be wound up voluntarily, and that Ewen Ross Alexander, of Ritson Smith, 16 Carden Place, Aberdeen AB10 1FX, be and is hereby appointed Liquidator for the purposes of such winding-up.”
