At a General Meeting of the members of the above-named Company, duly convened and held at MBB Palfinger GmbH, Fockestr. 53, 27777 Ganderkesee, Germany, on 22 June 2009, at 2.00 pm, the following Resolutions were duly passed as a Special Resolution and an Ordinary Resolution respectively:
“That the Company be wound up voluntarily and that Stephen Cork and Joanne Milner, both of Smith & Williamson Limited, 25 Moorgate, London EC2R 6AY, be and are hereby appointed as Joint Liquidators for the purposes of the winding up.”
