At a General Meeting of the above-named Company, duly convened, and held at Cartwright House, Tottle Road, Nottingham NG2 1RT, on 21 April 2009, at 10.00 am, the following Resolutions were passed as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily and that Philip Michael Lyon of Mazars LLP, Cartwright House, Tottle Road, Nottingham NG2 1RT, be appointed Liquidator of the Company for the purposes of the voluntary winding-up”.
