At a general meeting of the members of the above-named company duly convened and held at 2 Mountview Court, 310 Friern Barnet Lane, Whetstone, London, N20 0YZ on 16 April 2009 at 11.45 am the following Special Resolution was duly passed:

“That the Company cannot by reason of its liabilities continue its business, and it is advisable to wind-up the Company, and accordingly that the Company be wound-up voluntarily and that Martin John Atkins, of Harris Lipman LLP, 2 Mountview Court, 310 Friern Barnet Lane, Whetstone, London, N20 0YZ, an insolvency practitioner, licensed by the Institute of Chartered Accountants in England and Wales, is hereby appointed Liquidator of the Company for the purposes of the voluntary winding-up.”

At a subsequent meeting of creditors held at the same place on the same day the voluntary Liquidation was confirmed by the creditors and the appointment Martin John Atkins FCA CTA FABRP, of Harris Lipman, 2 Mountview Court, 310 Friern Barnet Lane, Whetstone, London, N20 0YZ, as Liquidator was ratified.
