At an Extraordinary General Meeting of the members of the above Company duly convened and held at Holiday Inn, Kings Cross, 1 Kings Cross Road, London, WC1X 9HX on 1 April 2009, the following Resolutions were passed: No 1 as a Special Resolution and No. 2 as an Ordinary Resolution:

1. That it has been proved to the satisfaction of this meeting that the Limited Liability Partnership cannot, by reason of its liabilities, continue its business and that it is advisable to wind the Limited Liability Partnership up, and accordingly that the Limited Liability Partnership be wound up voluntarily.

2. That Andrew T Clay of Centrum Recovery Limited, Speedwell Mill, Old Coach Road, Tansley, Matlock, Derbyshire DE4 5FY be and is hereby appointed Liquidator for the purposes of such winding up.
