At a General Meeting of the Company, held on 2 April 2009, the following Resolutions were passed as a Special Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue in business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that William Clive Swindell, of Yorkshire House, 7 South Lane, Holmfirth, Huddersfield HD9 1HN, be appointed Liquidator for the purpose of the voluntary winding-up of the Company.”
