At a General Meeting of the members of the above-named Company, duly convened, and held at Lansdowne House, 57 Berkeley Square, London, W1J 6ER, on 01 April 2009, the following Special Resolution was duly passed:

“That the Company be wound up voluntarily, and that Gerald M Krasner, of Begbies Traynor, Glendevon House, Hawthorn Park, Coal Road, Leeds, LS14 1PQ, be and are hereby appointed as liquidator for the purposes of such winding up and that any power conferred on him by law or by this resolution, may be exercised and any act required or authorised under any enactment to be done by him.”
