At an Extraordinary General Meeting of the above-named Company held at DSi Services, 29 King Street, Newcastle under Lyme, Staffordshire ST5 1ER, on 3 April 2009, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily under section 84(1)(b) of the Insolvency Act 1986, that Martin Williamson of DSi Services, 29 King Street, Newcastle under Lyme, Staffordshire ST5 1ER, be and is hereby appointed Liquidator of the Company for the purpose of its voluntary winding-up”.
