At a General Meeting of the Members of the above named Company, duly convened and held at The Institute of Directors, 116 Pall Mall, London, SW1Y 5ED on 26 March 2009 the following Special Resolution was duly passed;

“That it has been proved to the satisfaction of this meeting that the Company cannot by reason if its liabilities, continue its business and, it is advisable to wind up the same and accordingly, that the company be wound up and that Peter John Windatt and Rebecca Jane Dacre, both of BRI Business Recovery and Insolvency, Suite 1C, Oak House, Woodlands Business Park, Linford Wood West, Milton Keynes, MK14 6EY, be and they are hereby appointed Joint Liquidators for the purpose of the winding up.”
