At a general meeting of the members of the above-named company duly convened and held at 2 Mountview Court, 310 Friern Barnet Lane, Whetstone, London, N20 0YZ on 25 March 2009 at 12.00 noon, the following Special Resolution was duly passed:

“That the Company cannot by reason of its liabilities continue its business, and it is advisable to wind-up the Company, and accordingly that the Company be wound-up voluntarily and that Barry David Lewis, of Harris Lipman LLP, 2 Mountview Court, 310 Friern Barnet Lane, Whetstone, London, N20 0YZ, an insolvency practitioner, licensed by the Institute of Chartered Accountants in England and Wales, is hereby appointed as Liquidator of the Company for the purposes of the voluntary winding-up.”
