At a Meeting of the creditors convened pursuant to Section 98 of the Insolvency Act 1986 of the above named company, duly convened, and held at Gloucester Suite, Radisson SAS Portman Hotel, 22 Portman Square, London, W1H 7BG on the 20 March 2009 the subjoined Special Resolution was duly passed:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and that accordingly the Company be wound up voluntarily, and that Peter George Byatt, of LB Insolvency, 129 New London Road, Chelmsford, Essex CM2 0QT, is hereby appointed Liquidator for the purposes of such winding-up.”
