At a special general meeting of the above-named Company, duly convened and held at 21/23 Station Road, Gerrards Cross, Bucks, SL9 8ES on the 24 March 2009 the following Special Resolution was duly passed:

“That is has been proved to the satisfaction of the Company that this Company cannot by reason of its liabilities continue its business, and that it is desirable that the same should be wound up: and that the Company be wound up accordingly and that Helen Timothe Phillips, of 21-23 Station Road, Gerrards Cross, Bucks, SL9 8ES, be and is hereby appointed the Liquidator of the Company for the purposes of such winding up.”
