At a General Meeting of the members of Clark & Kemp Joinery Limited, duly convened and held at 16 The Havens, Ransomes Europark, Ipswich, Suffolk IP3 9SJ on 24 March 2009, the following Resolutions were passed: No 1 as a Special Resolution and No. 2 as an Ordinary Resolution:

1. That the Company be wound up voluntarily.

2. That David Sydney Merrygold of PKF (UK) LLP, 16 The Havens, Ransomes Europark, Ipswich, Suffolk IP3 9SJ be and is hereby appointed as Liquidator for the purposes of the voluntary winding up.
