At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Holiday Inn, London Road, Newport Pagnell, MK16 0JA on17 March 2009the subjoined Special Resolution was duly passed:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and thatTony Mitchell andBrett Barton , both ofCranfield Business Recovery Limited,Youell House, 1 Hill Top, Coventry CV1 5AB, be and are hereby appointed as Joint Liquidators for the purposes of such winding-up.

That the Joint Liquidators are to act independently unless they decide otherwise.”
