At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at The Tithe Barn, Church Road, Thame, Oxfordshire OX9 3A, on 9 March 2009, the following Special Resolution was duly passed:

“That the Company be wound up voluntarily, and that Phillip Anthony Roberts, of 29-30 Fitzroy Square, London W1T 6ET, be and is hereby appointed Liquidator of the Company for the purposes of such winding-up.”
