At a General Meeting of the members of the above named company, duly convened and held at Unit A, Kings Chambers, Queens Road, Coventry, CV1 3EH on 16 March 2009 the following Special Resolution was duly passed:

“That it has been proved to the satisfaction of this Meeting that the Company cannot by reason of its liabilities, continue its business, and that it is advisable to wind-up the same, and accordingly that the Company be wound-up voluntarily and that Gavin Geoffrey Bates and Peter John Windatt, both of BRI Business Recovery and Insolvency, Kings Chambers, Queens Road, Coventry CV1 3EH, be and they are hereby appointed Joint Liquidators for the purpose of the winding-up.”
