At a General Meeting of the Members of the above-named Company, duly convened and held at The Red Bull, 35 Pioneer House, St Marys Road, Peckham, London SE15 2EQ at 10.00 am on 22 January 2009 the following resolutions were duly passed:-

AS A SPECIAL RESOLUTION

“That the Company be wound up voluntarily.”

AS ORDINARY RESOLUTIONS

“That Filippa Connor, Licensed Insolvency Practitioner of B & C Associates, Trafalgar House, Grenville Place, Mill Hill, London NW7 3SA is hereby appointed Liquidator for the purposes of such winding-up.”

“That in accordance with the provisions of the Company’s articles of association, the Liquidator be and is authorised to divide among the members in specie all or any part of the Company’s assets.”

“That the fees of Filippa Connor for acting as liquidator be set at £3,000 plus VAT and disbursements, including SIP9 Category 2 disbursements”.
