At a General Meeting of the Members of the above-named Company duly convened and held at Baker Tilly Restructuring and Recovery LLP, Garrick House, 76 - 78 High Street, Old Fletton, Peterborough, PE2 8ST on 09 March 2009 the following Special Resolution and Ordinary Resolutions were duly passed:-

“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily and that Adrian David Allen, of Baker Tilly Restructuring and Recovery LLP, 2 Whitehall Quay, Leeds LS1 4HG and Nigel Millar, of Baker Tilly Restructuring and Recovery LLP, Abbotsgate House, Hollow Road, Bury St Edmunds, IP32 7FA, be and they are hereby appointed Joint Liquidators for the purposes of such winding up.”
