At a General Meeting of the above named Company, duly convened and held at J M Marriott & Co, 7 Rivington House, Chorley New Road, Horwich, Bolton, BL6 5UE at 10.45 am on 06 March 2009 the following Special Resolution was duly passed:

“That it has proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and, accordingly, that the Company be wound up voluntarily and that Alan B Coleman and Jonathan M Timmis, both of J M Marriott & Co, 7 Rivington House, Chorley New Road, Horwich, Bolton, BL6 5UE, be and are hereby appointed Joint Liquidators for the purposes of such winding up, that all acts in connection with the Liquidation can be carried out by either Joint Liquidator without the presence of the other.”
