Special Resolution

“That the Company be wound up voluntarily.”

Ordinary Resolution

“That Ian Franses and Jeremy Karr of Ian Franses Associates, Conduit House, 24 Conduit Place, London W2 1EP be and are hereby appointed Joint Liquidators for the purposes of the voluntary winding up.”

“That the Joint Liquidators be authorised to act jointly and severally in the liquidation.”
