At a General Meeting of the Members of the above named company, duly convened and held at The Royal Hotel, 1 Mill Street, Luton, LU1 2NA on 10 March 2009 the following Resolutions were duly passed as a Special Resolution and as Ordinary Resolutions respectively:

“That the company be wound up voluntarily; that Kiran Mistry of WM ProServ LLP be and is hereby appointed Liquidator for the purposes of such a winding up; and that the fees, expenses and disbursements of WM ProServ LLP be approved at £4,250 for the preparation of the estimated statement of affairs and £750 for the costs of convening the meetings of members and creditors (excluding VAT). In addition, they may deduct their disbursement costs incurred (eg postage, stationery, meeting room hire, advertising etc).”
