At a General Meeting of the above-named Company convened and held at Langley House, Park Road, East Finchley, London N2 8EX, on 26 February 2009 at 10.00 am the following special resolution and ordinary resolution were passed:

“That the Company be wound up voluntarily and that Alan Simon, of Langley Group LLP, Langley House, Park Road, London N2 8EX, be and is hereby appointed Liquidator of the Company for the purposes of the voluntary winding-up.”
