At a General Meeting of the above-named Company, duly convened, and held at 69 High Street, Dodsworth, Barnsley, South Yorkshire S75 3RG, on 18 February 2009, the following Resolutions were passed as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily, and that Martin Freeman of Fergusson & Co Ltd, First Floor, 5-7 Northgate, Cleckheaton, West Yorkshire BD19 3HH, be and is hereby appointed Liquidator for the purposes of such winding-up”.
