At an extraordinary general meeting of the above named company duly convened and held at 1000 Wilshire Blvd, Suite 1630 Los Angeles, CA 90017, USA on 19 February 2009, at 10.15 am, the following resolutions were passed, as a special resolution, an ordinary resolution and an extraordinary resolution respectively:

“That the Company be wound up voluntarily and that Derrick Arthur Smith, of Oury Clark Chartered Accountants, Herschel House, 58 Herschel Street, Slough, Berkshire SL1 1PG, be and is hereby appointed Liquidator for the purpose of such winding-up, and that in accordance with the provisions of the company’s articles of association, the Liquidator be and is hereby authorised to divide among the members in specie all or any part of the company’s assets.”
