At a general meeting of the above named company convened and held at Syndicate Room 9, The Park Inn Heathrow, London, Bath Road, Heathrow, Middlesex, UB7 0DU on 19 February 2009 at 12.00 noon the following special resolutions and ordinary resolutions were passed:-

“That it has been proved to the satisfaction of the meeting that the company cannot by reason of its liabilities, continue its business and that the company be wound-up voluntarily and that Trevor O'Sullivan and Nigel Morrison, both of Grant Thornton UK LLP, 11-13 Penhill Road, Cardiff CF11 9UP, be appointed joint liquidators of the company for the purposes of the voluntary winding-up”.
