At a General Meeting of the Members of the above-named Company, duly convened, and held at Portwall Place, Portwall Lane, Bristol BS1 6NA, on 30 January 2009, at 12.00 noon, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly, that the Company be wound up voluntarily and that Mark G Boughey and Peter William Engel, of Smith & Williamson Restructuring & Recovery Services, Portwall Place, Portwall Lane, Bristol BS1 6NA, be and are hereby appointed as Joint Liquidators for the purposes of the winding-up.”
