At a General Meeting of the above-named Company, convened, and held at 25 Barnes Road, Fareham, PO15 5TT on 16 January 2009 at 10.00 am the following Special Resolution and Ordinary Resolution were duly passed:

“That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business and that the Company be wound up voluntarily, and that John Whitfield and Neil Tombs, both of Grant Thornton UK LLP, Enterprise House, 115 Edmund Street, Birmingham B3 2HJ, be appointed Joint Liquidators of the Company for the purposes of the voluntary winding-up.”
