At a General Meeting of the Members of the above named company, duly convened and held at Cedar Court Hotel, Denby Dale Road, Calder Grove, Wakefield WF4 3QZ on 23 January 2009 the following resolutions were duly passed, as a special resolution and as an ordinary resolution respectively:

“That the Company be wound up voluntarily, and that Christopher J . Brown and Andrew J . Maybery of the firm of Hart Shaw, be and are hereby appointed Joint Liquidators of the Company for the purposes of the voluntary winding up and that the Joint Liquidators are empowered to act jointly and severally.”
