I, the undersigned being the sole member of Baptill Limited who, at the date of the passing of these written resolutions, on 02 October 2008, would be entitled to attend and vote at general meetings of the Company, hereby resolve as follows, as a special resolution and as an ordinary resolution:-
“That the Company be and it is hereby wound up voluntarily and that Neil Andrew Bennett, of Leonard Curtis, One Great Cumberland Place, Marble Arch, London, W1H 7LW, be and he is hereby appointed as Liquidator of the Company for purposes of the winding up of the Company.”
