At an extraordinary general meeting of the above named company convened and held at 12-14 Carlton Place, Southampton SO15 2EA on 1 October 2008 at 10.00 am the following special resolution numbered one and ordinary resolution numbered two were passed:

1. “That it has been resolved by special resolution that the company be wound up voluntarily”.

2. “That Gordon Johnston and Stephen Powell of Recovery hjs, Insolvency Practitioners of 12-14 Carlton Place, Southampton, Hampshire SO15 2EA be appointed joint liquidators of the company for the purpose of the voluntary winding-up”.
