At a General Meeting of the above-named Company, convened, and held at the offices of Richard J Smith & Co, Norfolk House, 16 Lemon Street, Truro TR1 2LS, on 23 September 2008, at 11.30 am, the following Resolutions were passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily, and that Giles Richard Frampton and Hamish Millen Adam of Richard J Smith & Co, 53 Fore Street, Ivybridge, Devon PL21 9AE, be appointed Joint Liquidators for the purpose of the voluntary winding-up.”
