At General Meetings of the members of the above named companies, duly convened and held at Sefton Park, Bells Hill, Stoke Poges, SL2 4JS, on 29 September 2008, the following resolutions were passed as a Special Resolution and as an Ordinary Resolution respectively:-

“That the Companies be wound up voluntarily and that Helen Timothe Phillips, of Phillips & Co, 21-23 Station Road, Gerrards Cross, Bucks, SL9 8ES, be and is hereby appointed Liquidator of the companies for the purposes of such winding ups and any act required or authorised under any enactment to be done by the Liquidator is to be done by all or any one or more of the persons for the time being holding that office.”
