At a General Meeting of the Members, held at short notice, of the above-named Company, duly convened, and held at BWC Business Solutions Limited, 8 Park Place, Leeds LS1 2RU, on 29 September 2008, the following Special Resolution was duly passed:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that David Leighton Cockshott and Paul Andrew Whitwam, of BWC Business Solutions Limited, 8 Park Place, Leeds LS1 2RU, be and are hereby appointed as Joint Liquidators for the purposes of such winding-up.”
