At a General Meeting of the members of the above-named Company, duly convened and held at Lancastrian Office Centre, Talbot Road, Old Trafford, M32 0FP, on 03 September 2008 at 12.30 pm the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily and that Scott Innes Gailie and Anne Clare O'Keefe, both of Kroll Limited, The Observatory, Chapel Walks, Manchester M2 1HL, be and are hereby appointed Joint Liquidators for the purposes of such winding up and that the Joint Liquidators are authorised to act jointly and severally in the liquidation.”
