At a General Meeting of the Members, held at short notice, of the above-named Company, duly convened, and held at The Lawns, 33 Thorpe Road, Peterborough PE3 6AD on 27 August 2008, the following Special Resolution was duly passed:

“That the Company be wound up voluntarily and that Gary Edgar Blackburn and Paul Andrew Whitwam of BWC Business Solutions, be and are hereby appointed Joint Liquidators for the purposes of such winding up, and that, in accordance with the provisions of the Company’s articles of association, the Joint Liquidators be and are hereby authorised to divide among the Members in specie all or part of the Company’s assets in accordance with the Schedule.”
