At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Blick Rothenberg, 12 York Gate, Regent’s Park, London NW1 4QS, on 2 September 2008, at 10.30 am, the following subjoined Resolutions were passed as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the Company and accordingly that the Company be wound up voluntarily, that Richard Paul Rendle, of R P Rendle & Co Limited, 112 School Road, Hockley Heath, Solihull B94 6RB, be and is hereby appointed as Liquidator for the purpose of such winding-up.”
