At a General Meeting of the above-named Company, duly convened and held at Tomlinsons, St John’s Court, 72 Gartside Street, Manchester M3 3EL, on 28 August 2008, the following Resolutions were duly passed:

“That the Company be wound up voluntarily, and that Alan H Tomlinson, Chartered Accountant, of Tomlinsons, St John’s Court, 72 Gartside Street, Manchester M3 3EL, is hereby appointed as Liquidator for the purposes of such winding-up.”

At a subsequent Meeting of Creditors held on the same date, the Resolution was ratified together with the appointment of Alan H Tomlinson, Chartered Accountant, of Tomlinsons, St John’s Court, 72 Gartside Street, Manchester M3 3EL, as Liquidator of the Company.
