At a General Meeting of the above-named Company, duly convened, and held at 601 High Road Leytonstone, London E11 4PA, on 27 August 2008, the following Resolutions were passed, as a Special Resolution and as Ordinary Resolutions respectively:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Harjinder Johal and George Michael, both of Ashcrofts Limited, 601 High Road Leytonstone, London E11 4PA, be and are hereby appointed Joint Liquidators for the purposes of such winding-up. Any act required or authorised to be done by the Liquidator can be undertaken by either one of them acting independently.”

At a subsequent Meeting of Creditors, duly convened pursuant to Legislation section: Section 98 of the Legislation: Insolvency Act 1986, held on the same day, the appointment of Harjinder Johal and George Michael was confirmed.”
