At a General Meeting of the members of the above-named Company, duly convened and held at the offices of Smith & Williamson Limited, 25 Moorgate, London EC2R 6AY, on 03 July 2008, at 4.00 pm, the following Resolutions were duly passed as Special and Ordinary Resolutions respectively:

“That the Company be wound up voluntarily and that Anthony Cliff Spicer and Henry Anthony Shinners, both of Smith & Williamson Limited, 25 Moorgate, London EC2R 6AY, be and are hereby appointed as Joint Liquidators for the purposes of the winding up.”
