THE NEGOTIATION ACADEMY—EUROPE LIMITED

At an Extraordinary General Meeting of the above-named Companies, duly convened, and held at Holiday Inn Heathrow, Sipson Way, Bath Road, Middlesex, London UB7 0DP, on 27 June 2008, the following Resolutions were passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That the Companies be wound up voluntarily, and that Jonathan Lord, of Bridgestones, 125-127 Union Street, Oldham OL1 1TE, be and is hereby appointed as Liquidator of the Companies for the purposes of such winding-up.”
