At an Extraordinary General Meeting of the above-named Companies, duly convened, and held at 10.15 am on 25 October 2007 at Begbies Traynor, Glendevon House, Hawthorn Park, Coal Road, Leeds LS14 1PQ, the following Special Resolution was duly passed:

“That it has been proved to the satisfaction of this meeting that the Companies cannot, by reason of their liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Companies be wound up voluntarily, and that J N R Pitts and M E G Saville, both of Begbies Traynor, Glendevon House, Hawthorn Park, Coal Road, Leeds LS14 1PQ, be and are hereby appointed Joint Liquidators for the purposes of such winding-ups.”
