By way of written Resolution of the Members of the Company, the following Special Resolution was duly passed:
“That the Company be wound up voluntarily, that James Richard Tickell and Carl Derek Faulds, of Portland Business & Financial Solutions, of 1640 Parkway, Solent Business Park, Whiteley, Fareham PO15 7AH, be and are hereby appointed Joint Liquidators of the Company, any act required or authorised to be done by the Liquidators is to be done by both or either of them for the time being holding office, the Liquidators are hereby authorised under the provisions of section 165 of the Insolvency Act 1986, to exercise the powers set out in Schedule 4 of the Act, and that in accordance with the provisions of the Company’s Articles of Association the Liquidators are authorised to distribute to the Company’s Member in specie the whole or any part of the Company’s assets and to value such assets.”
